ELLEN ALEMANY
Chief Executive Officer, RBS Americas/Citizens Financial Group

Ellen Alemany is Chief Executive Officer of RBS Americas and Citizens Financial Group, Inc. RBS Americas is the North American and Latin American operations and subsidiaries of The Royal Bank of Scotland Group plc, one of the world’s 10 largest banks by assets. RBS Americas includes Citizens Financial Group, Inc. (operating as Citizens Bank, Charter One, RBS Card Services, RBS Asset Finance and RBS Lynk, a U.S. merchant transaction-processing subsidiary); RBS Global Banking & Markets Americas (including RBS Greenwich Capital); and Global Transaction Services Americas (including RBS’s Cash Management, Commercial Cards, Payment Services, Trade Services and RBS Lynk). Alemany’s positions make her the only woman responsible for one of the top 10 commercial banking companies in the U.S.

RBS Americas’ U.S. operations have more than $119 billion in deposits and $681 billion in assets and employ more than 27,000 colleagues. The combined assets and deposits give RBS Americas the power and size of the fifth-largest commercial bank in the United States.

In October 2006, Alemany was ranked by U.S. Banker as the fourth-most-powerful woman banker in America.

She joined RBS America in June 2007 from Citigroup, where she had been CEO for Global Transaction Services (GTS), one of Citi’s 12 publicly reported product lines. Citi’s GTS offers cash management, trade services and finance, and securities and fund services capabilities to corporations, governments and financial institutions in 100 countries.

Under her leadership, GTS delivered superior financial performance, with net income growth of 26 percent from 2005 to 2006. She also was a member of the Citigroup Operating Committee, and Global Corporate and Investment Bank Operating Committee.

Ellen joined Citibank in 1987 and held various positions including Executive Vice President for the Commercial Business Group, which includes CitiCapital, the Commercial Markets Group and the Commercial Real Estate Group. CitiCapital, where she also served as President and CEO, was the second-largest bank-owned leasing company in North America.

Alemany also held a number of positions in Citigroup’s Global Corporate Bank including Customer Group Executive of North American Markets, Global Industry Head of Media and Communications, and U.S. Industry Head of Consumer Products before being appointed Executive Vice President of Citibank and the Customer Group Executive for the Global Relationship Bank in Europe in 1999. Additional roles at Citigroup included Chairman and CEO for Citibank International plc, Citibank’s European Bank; Country Corporate Officer for the United Kingdom; and member of the Board of Citibank, N.A.

She began her banking career at Chase Manhattan Bank in 1977, working in Operations, Structured Trade, and the Media and Electronics Department as a Senior Lender.

Ellen earned her M.B.A. with a specialization in finance from Fordham University in 1980. She is a member of the boards of directors of Citizens Financial Group, Inc., RBS Citizens, N.A., and the Depository Trust and Clearing Corporation. Recently she was appointed the First District Representative on the Federal Advisory Council, directly consulting with and advising the Board of Governors of the Federal Reserve System.

An active member of the community, Alemany serves on the boards of the Center for Discovery and the March of Dimes New York Division.

JAMES G. CONNOLLY
President, Citizens Financial Group, Inc.
Jim Connolly is President of Citizens Financial Group, Inc. Prior to being name the company's President in March 2008, Connolly was Vice Chairman in charge of the Commercial Markets Group, which included all commercial banking activities across CFG's 13-state franchise with client companies having $10 million to $500 million in annual revenue. Additional areas reporting to Connolly include RBS Asset Finance, RBS Business Capital, Global Markets, and Dealer Financial Services. Prior to joining CFG in March 2005, he was president of Bank of America Business Capital. He serves as a director of the Boston Latin School Association, as well as a member of its finance committee; and is a director and chairman of MA Mentoring Partnership; and an overseer of the board of WGBH, Boston. Connolly attended Boston Latin School and received a Bachelor's Degree in economics from Harvard College in 1982.

NORMAN J. DELUCA
Vice Chairman, Payments and Lending Services Group
Norm has responsibility for the Payments and Lending Services Group, which includes the following strategic business units- Commercial Payments and Treasury Solutions (cash management, trade services, commercial card products); RBS Lynk (merchant services); Retail Payment Solutions (credit cards, debit cards and pre-paid cards); Home Lending Solutions; and Consumer Lending Services. He is also Head of Global Transaction Services for the Americas for RBS Americas, the overall North American business unit of RBS, the Royal Bank of Scotland Group plc. DeLuca joined CFG in January, 2007 with 18 years of management experience in the financial services industry, including 15 years at Bank of America and its predecessor company, Fleet Boston Financial. Deluca previously was managing partner of NMD Investments, a private investment firm in Greater Boston.

DANA DRAGO
Vice Chairman, Consumer and Business Banking
Dana is responsible for Consumer and Business Banking, which is comprised of more than 1,600 Citizens Bank and Charter One traditional and in-store branches; Business Banking, which has approximately 400 business banking officers serving small businesses in 13 states; CCO Investment Services; and Corporate Marketing, which includes advertising, brand management and product development. She also has responsibility for CFG's PhoneBank and Internet channels. Drago joined CFG from Hartford Financial Services Group where she had been Executive Vice President, Sales and Distribution for property and casualty insurance.

JAMES B. FITZGERALD
Chief Financial Officer and Group Executive Vice President, Accounting and Finance
Jim oversees the company's Accounting, Finance, Treasury, Corporate Taxes, and Real Estate Management. Fitzgerald became CFO in June 2001. He was Senior Vice President and head of merger and acquisition activities at CFG from 1994 to 1997. Fitzgerald received a B.A. in finance from Lehigh University in Bethlehem, Pa., and an M.B.A. from Fordham University in New York.

ROBERT M. MAHONEY
Executive Vice Chairman
Robert M. Mahoney is Executive Vice Chairman of Citizens Financial Group. Mahoney joined CFG in 1993 as President and CEO of Citizens Bank of Massachusetts after serving 22 years in various domestic and international management positions at Bank of Boston. Mahoney has had a passion for customers throughout his banking career and now focuses on Citizens’ commercial customers bringing ideas and capital to their business opportunities. He has a particular interest in international banking with a focus on China. Mahoney holds several community leadership positions in Massachusetts. He is chairman of the United Way board of directors and executive committee. Mahoney is a trustee of Catholic Charities and the University of Massachusetts Foundation and is a member of the board of directors of The Boston Main Streets Foundation. He is also a board member of the Sitel Corporation, a $1.5 billion worldwide customer-service firm in Nashville. Mahoney received his M.B.A. from Columbia Business School in 1971. He is a 1970 graduate of the University of Massachusetts, where he earned a Bachelor of Science degree in chemistry. He received the 1996 Distinguished Alumnus Award from the University of Massachusetts and the 2006 Columbia University, School of Business Leadership Award.

ROBERT D. MATTHEWS
Vice Chairman, Commercial Markets
Robert Matthews is Vice Chairman of Citizens Financial Group, Inc. with responsibility for the company’s Commercial Markets business. Commercial Markets encompasses the Regional Banking, Middle Market and Mid-Corporate coverage groups that manage CFG’s relationships with corporations, non-profits and municipal entities. He also oversees the State Presidents who represent the overall Citizens Financial Group franchise in its 13 markets under the Citizens Bank and Charter One brands. Matthews was previously with Citigroup where he was Executive Vice President and Head of U.S. Commercial and Middle Market Banking. He received a Bachelor’s Degree in Economics from Harvard College in 1985 with an emphasis on labor relations and bargaining behavior.

TOM METZGER
Group Executive Vice President Risk Management, Chief Risk Officer
Tom is Group Executive Vice President Risk Management and Chief Risk Officer of Citizens Financial Group. In early 2006, Tom assumed the position of Head of Credit. Metzger has more than 31 years of diverse banking experience. From 2003 until 2006, Metzger was Chairman, President and CEO of Citizens Bank New Hampshire. An active member of the community, Metzger has served on several boards of directors including Heritage United Way, Greater Manchester Chamber of Commerce, New Hampshire Bankers Association, New Hampshire Business & Industry Association, New Hampshire Business Committee for the Arts. He has also served as a member of the executive committee of Heritage United Way and an incorporator of the New Hampshire Charitable Foundation. He served as chairman of the 2004 Heritage United Way Campaign, the 2005 GMCC Annual Citizen of the Year Dinner and was the 2006 chairman-elect of the Greater Manchester Chamber of Commerce. Metzger received a B.A. degree from Benedictine College in Atchison, Kansas, and has completed the Graduate and Post-Graduate Schools of Banking at the University of Wisconsin-Madison.

EVELYN TRESSITT
Group Executive Vice President and Chief Human Resources Officer
Evelyn Tressitt is Group Executive Vice President and Chief Human Resources Officer at Citizens Financial Group. She has responsibility for all aspects of human resources including organizational development, compensation and benefits, colleague evaluation and performance management, and overall strategic resource planning.

Tressitt began her career with Citibank where she held increasingly more responsible human resources leadership roles across both consumer and corporate banking businesses. She earned a Bachelor of Arts degree in human resources management from DePaul University.

WILLIAM K. WRAY
Vice Chairman and Chief Information Officer
Bill manages CFG's Manufacturing Division, the company's enterprise technology and operations arm, which includes more than 3,000 colleagues. As CIO, Bill is responsible for enterprise technology and operations, as well as prevention of financial crimes. He leads major change initiatives such as acquisition integration, branch automation, and process re-engineering. He also oversees purchasing and other corporate functions. He founded and is the executive champion of the company’s Lean Six Sigma program. A 1980 Distinguished Graduate of the United States Military Academy at West Point, he received a Master’s degree in engineering from Stanford University, which he attended as a National Science Foundation Fellow. Bill serves on the boards of the Providence Performing Arts Center, Amos House, Year Up Providence, and is a member of the Finance Council of the Roman Catholic Diocese of Providence.

BEN BARONE
President and CEO of RBS Lynk, Inc.
Ben Barone is President and CEO of RBS Lynk, Inc., the Atlanta-based electronic payment processing subsidiary of Citizens Financial Group, Inc. Barone has more than 25 years of progressive leadership roles and experience in financial products and services in the retail industry. Before joining CFG, he was Vice President, Credit Services at Home Depot, the second- largest retailer in the world, where he was responsible for strategy, development, management, execution and growth of all non cash/check payment types, as well as the management of the company’s private label credit programs and new financial services product development. Barone’s community activities/interests include his community Charity Guild, Habitat for Humanity and Kaboom Playgrounds. He is a graduate of George Mason University.

ROBERT M. CURLEY
President, Citizens Bank, New York
Bob is President, Citizens Bank, New York and a member of the Executive Policy Committee. Previously, he served as the Division President of Charter One Bank for the Northeast. Prior to that, Bob was vice chairman of Key Bank. Among his civic and community affiliations, Curley is on the boards of Siena College, Dowling College, the Public Broadcasting System, and the Center of Economic Growth, and serves as Chairman or Past Chairman of the Community Lending Corp., the Sports Foundation, New York Bankers Association, and Catholic Charities. He is a graduate of Dowling College and holds an M.B.A. from Adelphi University.

JOE DEWHIRST
Group Executive Vice President and Treasurer
Joe has more than 20 years experience in balance sheet management and previously was the Treasurer of Bank of America. Prior to Bank of America, he was the Treasurer of FleetBoston, responsible for interest rate risk management, balance sheet strategies, liquidity and capital management. He graduated from Harvard College in 1973, where he majored in psychology and social relations. He earned a Ph.D. in social psychology from Harvard University in 1978.

CHRISTOPHER Y. DOWNS
Group Executive Vice President, Consumer Lending Services
Chris Downs is Group Executive Vice President of Citizens Financial Group’s Consumer Lending Services. Downs is responsible for all consumer lending activities that support the entire CFG organization, which operates principally through the Citizens Bank and Charter One brands. Those lending activities include the following consumer loan business lines: Indirect Finance, Education Finance, Loan Servicing, Business Strategy and Loan Accounting, Portfolio Management and Technology Services. Before joining CFG in 1994, Downs spent 12 years at Chase Manhattan Corporation. Downs graduated with a B.A. from Middlebury College in Vermont. He received his M.B.A. from the University of New Hampshire’s Whittemore School of Business and Economics. He is a member of the board of directors of Lincoln School of Providence, where he co-chairs the development committee and is a member of the finance committee. He also serves on the board of directors and finance committee of the International Institute.

DANIEL K. FITZPATRICK
President and CEO for Eastern Pennsylvania, Delaware and New Jersey
Daniel Fitzpatrick is Citizens Bank’s President and CEO for eastern Pennsylvania, Delaware and New Jersey. Fitzpatrick, a native of Philadelphia, formerly was President, Bank of America, Pennsylvania and B of A’s Market Executive for Commercial Banking for Pennsylvania, southern New Jersey and Delaware. He is active in the community, serving on the board of the Greater Philadelphia Chamber of Commerce as well as the chamber’s CEO Council for Growth. He also is a member of the boards of directors of the Greater Philadelphia Urban Affairs Coalition. He is a member of the executive committees of the Greater Philadelphia Convention and Visitor’s Bureau, and the Office of Catholic Education of the Archdiocese of Philadelphia. He is a member of the board of trustees of the University of the Arts, the executive board of the Economy League of Greater Philadelphia, and vice chairman of of the corporate board of the Philadelphia Museum of Art. Fitzpatrick holds a Bachelor’s degree in Business Administration from LaSalle University and an M.B.A. from Drexel University, and is a CPA and Chartered Financial Analyst.

EDWARD O. HANDY
President, Citizens Real Estate Finance
Ned Handy is President of Citizens Real Estate Finance, which is one of four major business groups within Citizens Financial Group, Inc. Handy oversees all commercial real estate finance activities for CFG including Lending Services, Risk Management and the regional real estate teams located throughout the company's 13-state footprint. From 2004 to February 2008, Handy was President of Charter One, Ohio. Handy served as President of Citizens Bank of Connecticut from 1999 to 2004, with responsibility for all commercial lending activity, including commercial lending, commercial real estate lending and community banking. Handy is a graduate of Brown University with a Bachelor's Degree in urban studies. He is active on the boards of Greater Cleveland Partnership, United Way of Greater Cleveland, Neighborhood Progress Inc., and co-chairs the Harvest for Hunger campaign.

BRADFORD B. KOPP
Group Executive Vice President, Corporate Strategy and Development
Brad is in charge of the company's mergers and acquisitions team and other strategic planning initiatives. He is also Head of Strategy for RBS America, the overall North American business unit of RBS, the Royal Bank of Scotland Group plc. He currently is serving as CEO of ABN North America. He joined CFG as Chief Financial Officer in August 1993 after 16 years as an investment banker in New York. Kopp is a graduate of Harvard College and Harvard Business School. He is active in the community, serving on a number of local boards of directors including- the Rhode Island Public Expenditure Council and Family Service of Rhode Island.

JOSEPH J. MARCAURELE
President, Citizens Bank, Rhode Island

Joe is President, Citizens Bank, Rhode Island and a member of the Executive Policy Committee. Before being named head of Citizens' franchise in Rhode Island in July 2001, he was Executive Vice President in charge of Commercial Banking in Rhode Island and Connecticut. MarcAurele is a graduate of Holy Cross College and has done graduate work at Providence College. He chairs the Governor's Workforce Board of Rhode Island and is a member of the Rhode Island Commodores. He serves on the boards of directors of several local charities, including, Rhode Island Hospital, the National Conference for Community and Justice, LaSalle Academy, the United Way of Rhode Island, and the Greater Providence Chamber of Commerce.

KENNETH MARTIN
Executive Vice President, Director of Business Banking
Ken Martin is Executive Vice President and Director of Business Banking for Citizens Financial Group. Ken is responsible for directing all strategies relating to the sales, lending, operations and risk/compliance functions. He also collaborates with senior executives from Retail, Marketing, Customer Direct, as well as CFG’s Commercial Markets and Payment and Lending Services Group. Ken previously worked at Bank of America, where he was Northeast Regional Executive for Business Banking, a $500 million revenue business with 25,000 business clients located from Maine to Virginia, and west through Upstate New York. Ken serves on boards of the Boys & Girls Club of Pawtucket, Harmony Hill School and Rhode Island Scholar Athlete Games. He is the past chairman of the Northern Rhode Island Chamber of Commerce, and has served on the Rhode Island Lieutenant Governor’s Small Business Advisory Council and the Woonsocket Industrial Development Corporation. He was awarded the Rhode Island Small Business Administration Financial Advocate Award in 1997.

THERESA MCLAUGHLIN
Group Executive Vice President, Chief Marketing Officer
Theresa is responsible for all company-wide marketing for the Citizens Bank and Charter One brands. This includes brand development, sports marketing and promotions, interior and exterior signage, product management and development, advertising, database marketing and market research. Her advertising contributions have been recognized twice by the American Marketing Association for effectiveness through the Effie awards. Her branch design contributions won first prize in the 2003 Institute of Store Planners / Visual Merchandising and Store Design International Store Design Competition. McLaughlin has served on the board of directors of Horizons for Homeless Children, as a vice chairwoman for the United Way giving Campaign and the Boston Ad Club.

RALPH J. PAPA
Chairman, Citizens Bank of Pennsylvania
Ralph J. Papa is Chairman of Citizens Bank of Pennsylvania, with market responsibility for all commercial banking in western Pennsylvania, including Pittsburgh, Erie and State College, as well as a loan production office in the Washington, D.C. area. Papa joined CFG in 2001 after it purchased the retail, small business and certain middle market banking operations of Mellon Financial Corporation. Papa received a bachelor's degree in social science/psychology from Penn State University in 1969. He is a 1983 graduate of the Stonier Graduate School of Banking at Rutgers University.

SANDRA E. PIERCE
President, Charter One, Michigan & Indiana
Sandra is President, Charter One, Michigan and Indiana and a member of the Executive Policy Committee. She began her successful and diverse banking career in 1978 when she joined NBD Bancorp as a teller while attending Wayne State University. Pierce is a graduate of Wayne State University, where she also earned her Master's degree. Civic and community involvement include the Community Foundation for Southeastern Michigan; Detroit Economic Club; Detroit Investment Fund; Detroit Regional Chamber; Detroit Renaissance, Inc.; Detroit Zoological Society; Downtown Detroit Partnership; Henry Ford Health System; Michigan Roundtable for Diversity and Inclusion; New Detroit, Inc.; Rainbow Connection; and the Wayne State University Board of Visitors.

EDWIN SANTOS
Group Executive Vice President and General Auditor
Recognized as a leader in the internal audit profession, Ed has 25 years of experience in operating-risk management, corporate governance and management advisory services. Before Joining CFG in October 2004, he was Chief Auditor for FleetBoston Financial's global operations, overseeing approximately 300 employees in various audit, compliance and operating risk functions throughout the U.S. and Latin America. Santos, a Certified Internal Auditor, received a B.S. degree from Bryant University in Smithfield, R.I., where he was Vice Chairman of the Board of Trustees. Santos is chairman of the board of trustees of Roger Williams Medical Center, vice chairman of the board of directors of Crossroads Rhode Island, co-vice president of the board of Rocky Hill School, and a member of the board of directors of Delta Dental of Rhode Island.

CATHLEEN A. SCHMIDT
President, Citizens Bank, New Hampshire & Vermont
Cathy is President, Citizens Bank, New Hampshire and Vermont and a member of the Executive Policy Committee. Schmidt joined Citizens in July 2002 as Executive Vice President and Retail Banking Director in Massachusetts. Before joining Citizens, Schmidt was a regional manager at M&T Bank in Rochester, N.Y. Schmidt is a cum laude graduate of Boston College, where she received a Bachelor of Arts in Economics and Psychology.

ROBERT E. SMYTH
President, Citizens Bank, Massachusetts
Bob is President, Citizens Bank, Massachusetts and a member of the Executive Policy Committee. Smyth is Citizens’ Senior Executive for Massachusetts with responsibility for the coordination of all business lines in the state and particular focus on leading the Commercial Banking business in Massachusetts in addition to New Hampshire, Vermont and Maine. As Massachusetts market leader, he also oversees local sponsorships, grants and community relations. He is also responsible for Government Banking nationally and the Wealth Management business of Citizens. Bob sits on the boards of directors of Children’s Hospital Boston, Northeastern University, Jobs for Massachusetts, the Boston Private Industry Council and the Boston History Collaborative. He is an executive board member of the Greater Boston Chamber of Commerce. Smyth also co-chairs the Commonwealth Housing Task Force Initiative, and is a member of the Chief Executives Club of Boston and the Boston Economic Club. Smyth is a graduate of Adelphi University in Garden City, N.Y., where he received an M.B.A. in management and finance. He is also a graduate of Mount St. Mary’s College in Emmitsburg, Md., where he received a Bachelor of Science degree.

SCOTT C. SWANSON
President, Charter One, Illinois
Scott is President, Charter One, Illinois and a member of the Executive Policy Committee. Swanson joined Charter One following 17 years at JPMorgan Chase and its predecessors, including American National Bank. Scott is vice chairman of the Eleanor Foundation, and serves on the board of directors of the Adler Planetarium, After School Matters, Chicagoland Chamber of Commerce and LISC Chicago. He is also an active member of the Chicago 2016 Committee, Economic Club, Executives' Club of Chicago and is a trustee of Neighborhood Housing Services of Chicago. Swanson received his M.B.A. from the University of Chicago, where he graduated with honors. He is also a graduate of the University of Illinois, where he received a Bachelor of Science in finance.

MARIA TEDESCO
Group Executive Vice President and Executive Director of the Retail Branch Banking Group
Maria P. Tedesco is a Group Executive Vice President & Executive Director of the Retail Branch Banking Group at Citizens Financial Group, Inc. Tedesco is responsible for overseeing 1,066 traditional branches across the CFG franchise. Tedesco joined Citizens Bank of Massachusetts in 1994. She was responsible for building the New England In-Store Franchise, which began with a pilot of eight branches to a successful in-store network to more than 130 branches in three states. She graduated from Ithaca College in New York with a Bachelor of Science degree in finance, then went on to obtain her M.B.A in from Northeastern University in Boston. She also attended Harvard University’s Radcliffe Institute for Advanced Study in Leadership. Tedesco is a member of the board of directors of the YMCA of Metropolitan Chicago and has also served on the boards of Big Sisters of Massachusetts and the Thatcher School, where she was chairwoman of the diversity committee.

HAL R. TOVIN
Group Executive Vice President and Managing Director of CFG’s Retail Partnership Delivery Group
Hal is responsible for executive leadership and strategic oversight of the non-traditional retail branch delivery program at Citizens Financial Group. This includes direct management of the in-store banking franchise across the 13-state Citizens Bank-Charter One footprint, as well as the development of new strategic non-traditional branching and marketing programs for future growth. Tovin is a graduate of Brown University and has an M.B.A. from the Wharton School of Business. He is a trustee and chairman of the marketing committee and a member of the finance committee at the Boston Museum of Science. He is also a board member of Peace Games and former chairman of the board of the Boston Ad Club. He has held previous board positions with the United Way of Hartford and the Jewish Federation of Rhode Island.
